As a follow-up to yesterday's post, and the question raised as to whether Delaware's business judgment rule applied to corporate officers, we call the reader's attention to the writings of Megan W. Shaner, former Delaware attorney and Associate Professor of Law at the University of Oklahoma College of Law, and in particular The (Un)Enforcement of Corporate Officers' Duties,[1]  Restoring the Balance of Power in Corporate Management: Enforcing an Officer's Duty of Obedience,[2] and Officer Accountability.[3]
A complete list of Professor Shaner's work can be found at SSRN.
